What are the key features of the Dividend Reinvestment and Share Purchase Plan and how do I participate in it?

Does the Dividend Reinvestment and Share Purchase Plan provide a discount on the purchase of common shares of Enbridge?
Effective with dividends payable on March 1, 2008, participants in the Enbridge Inc. Dividend Reinvestment and Share Purchase Plan receive a two per cent discount on the purchase of common shares with reinvested dividends. The price of the common shares purchased on behalf of plan participants with reinvested dividends are 98 per cent of the weighted average of the trading prices for common shares on the Toronto Stock Exchange on the five trading days preceding a dividend payment date. Enbridge reserves the right to amend or cancel the discount at any time.

The discount does not apply to the purchase of common shares with optional cash payments under the plan. Optional cash payments of up to $5,000 Canadian per quarter are used to purchase common shares under the plan at a price equal to 100 per cent of the weighted average of the trading prices for common shares on the Toronto Stock Exchange on the five trading days preceding a dividend payment date.
What is the difference between registered and non-registered security ownership?

Registered owners of securities hold their securities directly and most often physically possess certificate(s) evidencing their position. Non-registered owners hold their securities through a brokerage firm or other financial intermediary. Beneficial owner is an alternative term for non-registered holders. Non-registered securities are often referred to being held in "street form." Most investors choose to own securities in non-registered form, primarily for reasons of convenience.

How do I make changes to my investment account?
Non-registered owners should contact their investment representatives to request any changes to their accounts. Registered owners should contact the appropriate Registrar and Transfer Agent. Enbridge cannot make address or name changes, confirm holdings or transactions, or perform other administrative tasks affecting the accounts of either registered or non-registered owners of Enbridge securities.

What are the dividend payments and terms regarding the Preferred B shares?

The holders of Series B Preferred Shares will be entitled to receive fixed cumulative dividends at an annual rate of $1.00 per share, payable quarterly on the 1st day of March, June, September and December, as and when declared by the board of directors of Enbridge, yielding 4.00 per cent per annum, for the initial fixed rate period ending June 1, 2017. The first quarterly dividend payment date is scheduled for March 1, 2012. The dividend rate will reset on June 1, 2017 and every five years thereafter at a rate equal to the sum of the then five-year Government of Canada bond yield plus 2.40% per cent. The Series B Preferred Shares are redeemable by Enbridge, at its option, on June 1, 2017 and on June 1 of every fifth year thereafter.

What are the dividend payments and terms regarding the Preferred D shares?

The holders of Series D Preferred Shares will be entitled to receive fixed cumulative dividends at an annual rate of $1.00 per share, payable quarterly on the 1st day of March, June, September and December, as and when declared by the board of directors of Enbridge, yielding 4.00 per cent per annum, for the initial fixed rate period ending March 1, 2018. The first quarterly dividend payment date is scheduled for March 1, 2012. The dividend rate will reset on March 1, 2018 and every five years thereafter at a rate equal to the sum of the then five-year Government of Canada bond yield plus 2.37 per cent. The Series D Preferred Shares are redeemable by Enbridge, at its option, on March 1, 2018 and on March 1 of every fifth year thereafter.

What are the dividend payments and terms regarding the Preferred F shares?

The holders of Series F Preferred Shares will be entitled to receive fixed cumulative dividends at an annual rate of $1.00 per share, payable quarterly on the 1st day of March, June, September and December, as and when declared by the Board of Directors of Enbridge, yielding 4.00 per cent per annum, for the initial fixed rate period to but excluding June 1, 2018. The first quarterly dividend payment date is scheduled for June 1, 2012. The dividend rate will reset on June 1, 2018 and every five years thereafter at a rate equal to the sum of the then five-year Government of Canada bond yield plus 2.51 per cent. The Series F Preferred Shares are redeemable by Enbridge, at its option, on June 1, 2018 and on June 1 of every fifth year thereafter.

What are the dividend payments and terms regarding the Preferred H shares?
The holders of Series H Preferred Shares will be entitled to receive fixed cumulative dividends at an annual rate of $1.00 per share, payable quarterly on the 1st day of March, June, September and December, as and when declared by the board of directors of Enbridge, yielding 4.00 per cent per annum, for the initial fixed rate period to but excluding September 1, 2018. The first quarterly dividend payment date is scheduled for Septembet 1, 2012. The dividend rate will reset on September 1, 2018 and every five years thereafter at a rate equal to the sum of the then five-year Government of Canada bond yield plus 2.12% per cent. The Series H Preferred Shares are redeemable by Enbridge, at its option, on September 1, 2018 and on September 1 of every fifth year thereafter.
What are the dividend payments and terms regarding the Preferred J shares?
The holders of Series J Preferred Shares will be entitled to receive fixed cumulative dividends at an annual rate of US$1.00 per share, payable quarterly on the 1st day of March, June, September and December, as and when declared by the Board of Directors of Enbridge, yielding 4.00 per cent per annum, for the initial fixed rate period to but excluding June 1, 2017. The first quarterly dividend payment date is scheduled for September 1, 2012. The dividend rate will reset on June 1, 2017 and every five years thereafter at a rate equal to the sum of the then five-year United States Government bond yield plus 3.05 per cent. The first quarterly dividend payment date is scheduled for December 1, 2012. What are the dividend payments and terms regarding the Preferred P Shares?

The holders of Series P Preferred Shares will be entitled to receive fixed cumulative dividends at an annual rate of $1.00 per share, payable quarterly on the 1st day of March, June, September and December, as and when declared by the Board of Directors of Enbridge, yielding 4.00 per cent per annum, for the initial fixed rate period to but excluding March 1, 2019. The first quarterly dividend payment date is scheduled for December 1, 2012. The dividend rate will reset on March 1, 2019 and every five years thereafter at a rate equal to the sum of the then five-year Government of Canada bond yield plus 2.50 per cent. What are the dividend payments and terms regarding the Series 3 Preferred Shares?

The holders of Series 3 Preferred Shares will be entitled to receive fixed cumulative dividends at an annual rate of $1.00 per share, payable quarterly on the 1st day of March, June, September and December, as and when declared by the Board of Directors of Enbridge, yielding 4.00 per cent per annum, for the initial fixed rate period to but excluding September 1, 2019. The first quarterly dividend payment date is scheduled for September  1, 2013. The dividend rate will reset on September  1, 2019 and every five years thereafter at a rate equal to the sum of the then five-year Government of Canada bond yield plus 2.38 per cent. The Series 3 Preferred Shares are redeemable by Enbridge, at its option, on September 1, 2019 and on September 1 of every fifth year thereafter.

What are the dividend payments and terms regarding the US$ Preferred Series 5 Shares?

The holders of Series 5 Shares will be entitled to receive, as and when declared by the board of directors of the Corporation (the “Board”) out of moneys of the Corporation properly applicable to the payment of dividends, fixed, cumulative, preferential cash dividends for the initial period from and including the date of issue of the Series 5 Shares to but excluding March 1, 2019 (the “Initial Fixed Rate Period”), at an annual rate of US$1.10 per Series 5 Share, payable quarterly on the 1st day of March, June, September and December in each year (less any tax required to be deducted and withheld by the Corporation).  If any such date is not a business day, the dividend will be paid on the next succeeding business day.  Assuming an issue date of September 27, 2013, the first dividend, if declared, will be payable December 1, 2013 in the amount of US$.1959 per Series 5 Share.

What are the dividend payments and terms regarding the Preferred Series 7 Shares?

The holders of Series 7 Shares will be entitled to receive, as and when declared by the board of directors of the Corporation (the “Board”) out of moneys of the Corporation properly applicable to the payment of dividends, fixed, cumulative, preferential cash dividends for the initial period from and including the date of issue of the Series 7 Shares to but excluding March 1, 2019 (the “Initial Fixed Rate Period”), at an annual rate of $1.10 per Series 7 Share, payable quarterly on the first day of March, June, September and December in each year (less any tax required to be deducted and withheld by the Corporation). If any such date is not a business day, the dividend will be paid on the next succeeding business day. Assuming an issue date of December 12, 2013, the first dividend, if declared, will be payable March 1, 2014 in the amount of $0.2381 per Series 7 Share.

What are the dividend payments and terms regarding the Preferred Series 9 Shares?

The holders of Series 9 Shares will be entitled to receive, as and when declared by the board of directors of the Corporation (the “Board”) out of moneys of the Corporation properly applicable to the payment of dividends, fixed, cumulative, preferential cash dividends for the initial period from and including the date of issue of the Series 9 Shares to but excluding December 1, 2019 (the “Initial Fixed Rate Period”), at an annual rate of $1.10 per Series 9 Share, payable quarterly on the first day of March, June, September and December in each year (less any tax required to be deducted and withheld by the Corporation). If any such date is not a business day, the dividend will be paid on the next succeeding business day. Assuming an issue date of March 13, 2014, the first dividend, if declared, will be payable June 1, 2014 in the amount of $0.2411 per Series 9 Share.
